Robert M. Greenbaum has
joined Smith Giacometti as a partner. Mr. Greenbaum concentrates his
practice in bankruptcy, insolvency and creditors' rights, representing
debtors, creditors' committees, trustees, unsecured creditors and other
interested parties, including buyers and sellers of assets, involved in
commercial bankruptcy, insolvency and workout cases. For seventeen years
prior to joining Smith Giacometti, Rob was associated with Saul Ewing LLP,
as a Partner (since 1999) in the firm's nationally-recognized Bankruptcy and
Restructuring Department.
Smith Giacometti Assists in Sale of Assets to DSWA

Smith Giacometti assisted its client, Enpower Corp., in facilitating the sale of landfill gas collection and processing assets to the Delaware Solid Waste Authority (DSWA) in a transaction that closed in early July, 2006. Enpower Corp., through a subsidiary, will manage and operate the assets for the DSWA under a long-term Asset Management Agreement. Enpower Corp. is a California based holding company owning energy facilities and providing highly skilled business and operations management company services to energy and process industries through its subsidiaries. Enpower provides a broad base of management services with particular focus in technology and process application, financial and contractual restructuring, and risk management, and consulting services to clients for acquisition due diligence, project feasibility, and project and process development. Enpower, with assistance from Smith Giacometti, initiated the discussions with the sellers regarding a potential sale of their assets and performed as an essential intermediary and facilitator in consummating the sale transaction.
Richard J. Squadron becomes President of the Delaware Chapter of the Financial Executives International

Richard J. Squadron has become President of the Delaware Chapter of the Financial Executives International (FEI) commencing in July, 2006 for the 2006-2007 year. Mr. Squadron has been a member of the FEI - Delaware Chapter since 1993 and has previously served the chapter as a member of its Board of Directors and as Chair or co-Chair of its Academic Relations Committee and Membership Committee.
The FEI is a preeminent professional association for senior financial executives representing approximately 15,000 individuals. FEI's advocacy on financial issues and its services to its members are provided principally through the organizations strong Internet community, its 86 chapters and its 8 technical committees. Membership driven, FEI provides peer networking opportunities, emerging issues alerts, personal and professional development and advocacy services to Chief Financial Officers, Controllers, Chief Accounting Officers, Treasurers, Tax Executives, and Finance and Accounting Professors in academia. FEI's members are at the time of becoming a member financial executives in banking institutions with over $500 million in total assets, government corporations or authorities with over $100 million in total assets, companies registered with the SEC, or companies with either $5 million in net worth, $15 million in capital or $20 million in operating expense. In addition to individuals holding the senior financial positions listed above, membership is also available to certain other finance professionals if they meet certain higher criteria regarding company size. Other typical titles held by FEI members include Vice President - Finance, Investor Relations, or Planning and Analysis; Director of Taxes, Treasury, Accounting or Finance; Assistant Controller; Subsidiary CFO or Controller; Assistant Treasurer; and Member - Audit Committee.

Richard J. Squadron joined the firm as a partner and will concentrate his practice in corporate law, including commercial transactions, mergers and acquisitions, project finance, banking, workouts/turnarounds, equity growth, real estate, and general corporate. Richard has over 20 years of experience as an attorney in private practice and in-house with corporations, and as a financial executive and mergers, acquisitions and strategic management consultant. Prior to joining the firm, he was an associate at Pepper Hamilton and acted as general counsel to the competitive subsidiaries of Delmarva Power & Light Company and to the MidAtlantic region of NRG Energy, Inc. Richard has been a principal in the Wilmington based mergers, acquisitions and strategic management consulting firm of RLS Associates and has independently provided business and legal consulting services to individuals and closely-held businesses.
